Agreement to Terms

By accessing or using the services provided by Thomas Tech Solutions LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

Services Description

Thomas Tech Solutions LLC provides technology consulting, IT support, business systems setup, website and software support, cloud and infrastructure services, workflow automation, and related technical services. The specific scope of services will be determined by individual service agreements between you and the Company.

Use of Services

By using our services, you agree to:

Payment Terms

Payment terms will be specified in individual service agreements. Unless otherwise agreed, invoices are due within thirty (30) days of issuance. Late payments may be subject to interest charges as permitted by applicable law. We reserve the right to suspend services for accounts with overdue balances.

Intellectual Property

All intellectual property rights in our services, including but not limited to software, documentation, methodologies, and proprietary tools, remain the property of Thomas Tech Solutions LLC. Unless expressly agreed in writing, no license or right is granted to you in any intellectual property owned by the Company.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation shall survive termination of services. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.

Limitation of Liability

To the fullest extent permitted by applicable law, Thomas Tech Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising from or related to our services shall not exceed the fees paid by you for the specific services giving rise to the claim.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Indemnification

You agree to indemnify, defend, and hold harmless Thomas Tech Solutions LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of our services or violation of these Terms of Service.

Termination

Either party may terminate services in accordance with the terms of any applicable service agreement. Upon termination, you shall pay for all services rendered through the date of termination. We may also terminate or suspend services immediately if you breach these terms or fail to make required payments.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these terms or our services shall be resolved in the courts of Florida.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the new terms.

Severability

If any provision of these Terms of Service is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions shall remain in full force and effect.
